Holcim to divest Philippines business in deal valued at US$807 million

The Philippines transaction will reduce Holcim’s direct ownership in the local business while allowing it to realise proceeds from the divestment.

Holcim has agreed to sell its business in the Philippines to Huaxin Building Materials in a transaction that values the business at US$807 million, as the building materials company continues to reshape its portfolio.


Under the agreement, Huaxin Building Materials will initially acquire a 67.623% stake in Holcim’s Philippines business for US$527 million. Holcim will then exit its remaining approximately 31% stake over a three- to five-year period.


The agreement provides a minimum floor price of US$280 million for the remaining stake, bringing the transaction’s overall valuation to US$807 million. Holcim could also receive additional cash proceeds if the value of the remaining business increases during the period before its final exit.


The transaction remains subject to customary and regulatory approvals. The sale of the majority stake is expected to close in the first half of 2027.


The divestment is part of Holcim’s broader portfolio management as the company focuses on its building materials and building solutions businesses across global markets.


Holcim, headquartered in Zug, Switzerland, reported net sales of CHF15.7 billion in 2025 and employs more than 50,000 people across 45 countries in Europe, Latin America, and Asia, the Middle East and Africa.


The company provides building materials and solutions spanning infrastructure, industrial projects and buildings, with products covering areas including foundations, flooring, walling and roofing.
